Welcome to WorxConnect, operated by ZimWorX. These Terms of Service ("Terms") govern your access to and use of our talent marketplace platform, which connects businesses with university-educated virtual/remote team members working full-time from our first-class global outsourcing campuses.

By accessing or using WorxConnect, you agree to be bound by these Terms. If you don't agree to these Terms, please don't use our services.

Important: Managed Service Model

WorxConnect operates on a professionally managed service model. We are not a freelance marketplace. All talent matching, coordination, and placement is handled by our Talent Acquisition team. There is no direct communication between clients and candidates—all interactions are mediated through ZimWorX for quality control and professional standards.

Definitions

"Platform" or "WorxConnect"

The website, mobile applications, and all related services operated by ZimWorX that connect businesses with remote talent.

"We," "Us," "Our," or "ZimWorX"

ZimWorX, the company operating WorxConnect, headquartered in Argyle, Texas, USA, with global outsourcing campuses in Zimbabwe, Zambia, and Costa Rica.

"Client" or "You" (as Client)

A business or individual seeking to hire virtual/remote team members through our managed service platform.

"Candidate" or "Talent"

University-educated virtual/remote team members registered on our platform seeking placement opportunities through ZimWorX's managed service.

"Outsourcing Campuses"

Our professionally managed facilities in Zimbabwe, Zambia, Costa Rica, and the United States where candidates work full-time with provided infrastructure.

"Managed Service"

Our service model where ZimWorX mediates all client-candidate interactions, manages placements, provides infrastructure, and handles administrative support.

"Services"

All services provided through the Platform, including talent discovery, matching, placement coordination, infrastructure provision, and ongoing management.

"Master Service Agreement (MSA)"

The governing contract between ZimWorX and a Client that establishes the general terms, conditions, and framework for the provision of services. The MSA is supplemented by individual Statements of Work.

"Statement of Work (SOW)"

A document executed for each team member assigned to your organization, defining the individual's role, responsibilities, compensation structure, and engagement terms under the Master Service Agreement.

"Business Associate Agreement (BAA)"

A HIPAA-required contract executed between ZimWorX and healthcare Clients when ZimWorX employees will access, process, or transmit Protected Health Information (PHI).

"Employee" or "ZimWorX Employee"

All candidates on the WorxConnect platform are employees of ZimWorX LLC, not independent contractors. ZimWorX is the sole employer responsible for team member agreements, payroll, taxes, and benefits.

Employment Relationship & Contract Structure

ZimWorX as Employer of Record

All talent on the WorxConnect platform are direct employees of ZimWorX LLC, not independent contractors or freelancers. This employment structure provides significant benefits and clarity for all parties:

For Clients

  • • No employment liability or co-employment risk
  • • No payroll, tax, or benefits administration
  • • Simple B2B service relationship
  • • Compliance managed by ZimWorX

For Candidates

  • • Traditional employment with job security
  • • Guaranteed payroll and tax withholding
  • • Statutory benefits and leave
  • • Professional development support

Our Contractual Framework

When you engage services through WorxConnect, ZimWorX establishes a comprehensive contractual framework tailored to your needs:

1 Master Service Agreement (MSA)

The foundational contract between your organization and ZimWorX that establishes:

  • Scope of relationship: General terms governing all services provided by ZimWorX
  • Sole employer clause: ZimWorX's exclusive status as employer of all assigned personnel
  • Intellectual property: Ownership and licensing of work product
  • Confidentiality: Protection of proprietary and sensitive information
  • Liability & indemnification: Allocation of risk and responsibility
  • Termination provisions: Notice periods and wind-down procedures
  • Dispute resolution: Arbitration and governing law

The MSA remains in effect for the duration of the business relationship and covers all projects and engagements.

2 Statement of Work (SOW) - Per Team Member

Important: Each SOW is created per team member, not per project. If you engage 3 team members, you will have 3 separate SOWs.

For each ZimWorX employee assigned to your organization, a detailed SOW defines:

  • Team member identity: Name, role, seniority level, and professional qualifications
  • Role and responsibilities: Detailed job description, expected deliverables, and performance standards
  • Engagement period: Start date, expected duration, and renewal/extension terms
  • Compensation structure: Monthly service fee for this specific team member, billing schedule (typically monthly), and payment terms
  • Termination provisions: Notice period (typically 30-90 days), off-boarding process, knowledge transfer requirements
  • Work output ownership: Intellectual property assignment and licensing terms for work produced

Example: If you need a software development team of 1 Senior Developer, 2 Mid-Level Developers, and 1 QA Engineer:

  • • You execute 1 Master Service Agreement (MSA) with ZimWorX
  • • You receive 4 individual Statements of Work (one for each team member)
  • • Each SOW specifies that team member's role, rate, and responsibilities
  • • You are billed monthly per the terms of each SOW

Each SOW operates under the umbrella of the MSA. Multiple SOWs can be active simultaneously for different team members working on various projects or functions.

3 Business Associate Agreement (BAA) - When Applicable

For healthcare organizations or any client handling Protected Health Information (PHI), ZimWorX executes a HIPAA-compliant BAA that includes:

  • HIPAA Security Rule compliance: Technical, physical, and administrative safeguards for PHI
  • Permitted uses: PHI access limited strictly to services provided to covered entity
  • Breach notification: Reporting requirements and timelines for PHI breaches
  • Subcontractor management: Ensuring downstream business associates also execute BAAs
  • Data return/destruction: Procedures for handling PHI at contract termination

Request a BAA: Contact compliance@zimworx.com during onboarding if your organization requires HIPAA compliance.

Important: No Co-Employment Relationship

The contractual structure ensures ZimWorX remains the sole employer of all assigned personnel. Clients receive professional services but do not:

  • • Direct day-to-day work methods or workplace conduct
  • • Provide benefits, equipment, or workspace to ZimWorX employees
  • • Have authority to hire, discipline, or terminate ZimWorX employees
  • • Incur employment tax obligations or workers' compensation liability

This structure protects both parties from joint employment liability and ensures compliance with employment laws in all operating jurisdictions.

Account Registration & Eligibility

Eligibility Requirements

To use WorxConnect, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding agreements
  • Provide accurate, complete, and current information during registration
  • Not be prohibited from using our services under applicable laws
  • For Candidates: Hold a university degree and be eligible to work in your country of residence
  • For Clients: Represent a legitimate business or have authority to bind an organization to these Terms

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access or security breaches

One Account Per User

You may only create and maintain one account. Creating multiple accounts or allowing others to use your account is strictly prohibited and may result in immediate termination of all your accounts.

Our Services & Managed Service Model

WorxConnect Managed Service Model

WorxConnect is not a freelance marketplace. We operate as a professionally managed service provider where ZimWorX acts as the intermediary between clients and candidates. This means:

  • No Direct Communication: Clients and candidates do not communicate directly with each other
  • Mediated Interactions: All coordination happens through our Talent Acquisition team
  • Quality Control: We verify candidates, manage placements, and ensure professional standards
  • Infrastructure Provided: We supply outsourcing campuses, equipment, and facilities
  • Financial Operations External: All billing, invoicing, and payments are handled by ZimWorX externally (not through this platform)

Platform Services Include:

Talent Discovery & Browsing

Access to verified candidate profiles with skills, experience, and business center locations

Matching & Recommendations

Personalized candidate recommendations based on your requirements and industry

Placement Coordination

Professional coordination of interviews, placements, and onboarding through our team

Ongoing Support

Dedicated account management, performance monitoring, and issue resolution

Service Availability

We strive to maintain Platform availability 24/7, but we do not guarantee uninterrupted access. We may temporarily suspend services for maintenance, updates, or due to circumstances beyond our control. We will provide advance notice when possible.

User Obligations & Prohibited Conduct

You Agree To:

  • Provide accurate, truthful, and complete information in your profile and interactions
  • Respect the managed service model—all coordination through ZimWorX only
  • Comply with all applicable laws and regulations
  • Treat all users and ZimWorX staff with professionalism and respect
  • Maintain the confidentiality of any information shared through the Platform
  • Update your profile information promptly when changes occur

Prohibited Activities:

❌ Circumventing the Platform: Attempting to contact or hire candidates directly outside of ZimWorX's managed service, or exchanging contact information to bypass our coordination

❌ False Information: Providing false, misleading, or fraudulent information about your identity, qualifications, or business

❌ Misuse of Platform: Using automated tools (bots, scrapers) to access or collect data from the Platform, or reverse engineering our systems

❌ Harassment or Abuse: Engaging in harassment, discrimination, hate speech, or abusive behavior toward any user or staff member

❌ Security Violations: Attempting to breach, hack, or compromise the Platform's security, or accessing accounts you don't own

❌ Illegal Activities: Using the Platform for any illegal purpose, fraud, money laundering, or to violate others' rights

❌ Competitor Data Mining: Using the Platform to gather competitive intelligence or to build a competing service

Consequences of Violations

Violation of these terms may result in immediate account suspension or termination, removal from our platform, legal action, and reporting to appropriate authorities. We reserve the right to investigate suspected violations and cooperate with law enforcement.

Payments & Billing

Important: Financial Operations Are External

The WorxConnect platform does NOT process payments, billing, or invoicing. All financial operations are handled externally by ZimWorX through established accounting systems (QuickBooks, etc.). This platform facilitates talent discovery and coordination only.

Platform Access Fee

Access to the WorxConnect platform for browsing and discovery is currently free. We reserve the right to introduce subscription fees or access charges in the future with advance notice.

Service Fees (External)

When you engage talent through ZimWorX's managed service, fees for:

  • Talent services and coordination
  • Business center infrastructure
  • HR and administrative support
  • Compliance and quality assurance

...are negotiated and documented in separate service agreements directly with ZimWorX (external to this platform).

Intellectual Property Rights

Platform Ownership

The WorxConnect platform, including all software, designs, content, trademarks, logos, user interface, and underlying technology, is owned by ZimWorX and protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose only. You may not reproduce, modify, distribute, display, perform, or create derivative works from any part of the Platform without our express written permission.

User-Generated Content

Content You Provide

When you create a profile, upload documents (resumes, portfolios), or submit information to the Platform, you retain ownership of your content but grant us certain rights:

  • Worldwide, non-exclusive license to use, display, and store your content for the purpose of operating the Platform
  • Right to share your profile with clients (for candidates) or ZimWorX team members for matching purposes
  • Right to format or adapt your content for display on different devices and platforms
  • This license terminates when you delete your content or account, except for content shared with clients (which may be retained per data retention policies)

Your Representations

You represent and warrant that:

  • You own or have the right to share all content you upload
  • Your content does not infringe on any third party's intellectual property rights
  • You have obtained all necessary permissions for any work samples or portfolios you upload

Trademarks

"WorxConnect," "ZimWorX," and associated logos are trademarks of ZimWorX. You may not use these marks without our prior written consent. All other trademarks mentioned on the Platform belong to their respective owners.

Copyright Infringement Claims (DMCA)

If you believe content on our Platform infringes your copyright, please contact us at legal@zimworx.com with:

  1. Identification of the copyrighted work claimed to be infringed
  2. Identification of the allegedly infringing material and its location
  3. Your contact information (name, address, phone, email)
  4. A statement that you have a good faith belief the use is unauthorized
  5. A statement that the information is accurate and you are authorized to act on behalf of the copyright owner
  6. Your physical or electronic signature

Disclaimers & Limitation of Liability

Please read this section carefully. It limits our liability and affects your legal rights.

"AS IS" Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties regarding accuracy, reliability, or completeness of content
  • Warranties that the Platform will be uninterrupted, secure, or error-free
  • Warranties regarding candidate qualifications, skills, or work quality

No Employment Guarantees

We do not guarantee that:

  • Candidates will be matched with or placed in positions
  • Clients will find suitable candidates
  • Any specific outcomes or results from using the Platform

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZIMWORX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, use, or goodwill
  • Service interruptions or unauthorized access to your account
  • Errors, mistakes, or inaccuracies in content or candidate profiles
  • The conduct of any user or third party

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total aggregate liability to you for all claims arising from your use of the Platform shall not exceed $100 USD or the amount you paid us in the past 12 months (whichever is greater).

Indemnification

You agree to indemnify, defend, and hold harmless ZimWorX, its affiliates, and personnel from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

Jurisdictional Variations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. If you reside in such a jurisdiction, some of the above limitations may not apply to you, and you may have additional rights under local law.

Account Termination & Suspension

Your Right to Terminate

You may terminate your account at any time by:

Contact Support

Email support@zimworx.com requesting account deletion

Upon termination, you will lose access to your account and all associated data. Please export any information you wish to keep before deleting your account.

Our Right to Suspend or Terminate

We may suspend or terminate your account immediately, without prior notice, if:

You violate these Terms of Service or our policies

Your account is used for fraudulent or illegal activities

You provided false or misleading information

You attempt to circumvent the managed service model

Required by law or at the request of law enforcement

We determine, in our sole discretion, that continued access poses risks to the Platform or other users

Effects of Termination

Upon termination of your account (by you or us):

Immediately Ceases

  • • Access to your account
  • • Platform features and services
  • • Your license to use the Platform
  • • Active job placements (candidates)

Survives Termination

  • • Disclaimers and limitations
  • • Indemnification obligations
  • • Dispute resolution terms
  • • Data retention per our policies

Data Retention After Termination

After account deletion, we may retain certain information as required by law, for legitimate business purposes (audit logs, compliance), or as outlined in our Privacy Policy. Your profile will no longer be visible to other users.

Dispute Resolution & Governing Law

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Zimbabwe, without regard to its conflict of law provisions. Our operations are primarily based in Zimbabwe, Zambia, and Costa Rica, with clients primarily in the United States, United Kingdom, and Canada.

Informal Resolution First

Before filing any formal dispute, you agree to first contact us at legal@zimworx.com to attempt to resolve the issue informally. We commit to working with you in good faith to reach a resolution within 30 days.

Arbitration Agreement

You and ZimWorX agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be settled by binding arbitration, except as outlined below.

Arbitration Rules: Arbitration will be conducted under the rules of the International Chamber of Commerce (ICC)
Location: Arbitration shall take place in Harare, Zimbabwe, or remotely via video conference
Language: English
Binding: The arbitrator's decision shall be final and binding, enforceable in any court of competent jurisdiction

Exceptions to Arbitration

Either party may pursue claims in court instead of arbitration for:

  • Intellectual property infringement claims
  • Claims eligible for small claims court (up to applicable jurisdictional limits)
  • Requests for equitable relief (injunctions)

Class Action Waiver

YOU AND ZIMWORX AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate multiple parties' claims and may not otherwise preside over any form of a representative or class proceeding.

Jurisdictional Rights

If you reside in the EU, UK, or certain other jurisdictions, you may have statutory rights that prohibit mandatory arbitration or class action waivers. In such cases, this arbitration agreement may not apply to you, and you may be entitled to pursue claims in local courts.

Additional Terms & Provisions

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and ZimWorX regarding your use of the Platform and supersede all prior agreements, understandings, or representations.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision shall be effective only if in writing and signed by ZimWorX.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law, without your consent.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Third-Party Services

The Platform may contain links to third-party websites, services, or resources (such as Calendly for scheduling). We are not responsible for the availability, content, privacy practices, or terms of service of such third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

Changes to These Terms

We reserve the right to modify these Terms of Service at any time. When we make changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify you via email (if you have an account) for material changes
  • Provide a prominent notice on the Platform for significant changes

Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the modified terms, you must stop using the Platform and may terminate your account.
